01Acceptance
By accessing the Azerra Agency Portal (the “Portal”), you agree to these Terms of Use. These terms apply to your individual access and use of the Portal as a representative of a recruiting agency that has an active Master Service Agreement (MSA) with AZERRA Business Services N.V. (“Azerra”).
If you do not agree, do not use the Portal.
02Eligibility
Access to the Portal is by invitation only. You may use the Portal if and only if:
- An authorised Azerra administrator has invited your email address
- You are an authorised representative of a recruiting agency with an active MSA with Azerra
- You complete the magic-link activation flow
Azerra reserves the right to invite, suspend, or revoke individual access at any time without notice.
03Scope of access
The Portal provides read-only access to information related to your agency’s deployments, invoices, payslips, and consultants under our EOR services. You may view, search, and download documents that pertain to your agency’s contracts and operations.
You may not:
- Access, attempt to access, or assist others in accessing data belonging to other recruiting agencies
- Share your magic-link emails or session credentials with any other person
- Use automated tools (scrapers, bots) to retrieve data from the Portal without prior written permission from Azerra
- Reverse-engineer, decompile, or otherwise attempt to derive the Portal’s source code or underlying infrastructure
04Acceptable use
You agree to use the Portal only for legitimate business purposes related to your relationship with Azerra. You agree not to:
- Use the Portal in any way that violates applicable laws or regulations
- Attempt to disrupt, overload, or compromise the security of the Portal
- Upload, transmit, or introduce malicious code
Azerra may suspend access immediately upon detection of any violation of this section.
05Relationship to the MSA
These Terms of Use govern your individual access to the Portal as a representative. They do not modify, replace, or supplement the commercial Master Service Agreement between your agency and Azerra. In case of conflict, the MSA prevails for matters relating to services, payment, and contractual obligations between the parties.
Documents displayed in the Portal (invoices, agreements, payslips) are provided for your operational reference. The legally binding versions are those signed and executed through Azerra’s formal contracting and invoicing processes.
06Information accuracy
Azerra uses commercially reasonable efforts to ensure the information displayed in the Portal is accurate and current. However, the Portal is provided on an “as-is” basis. Azerra does not warrant that:
- The Portal will be uninterrupted or error-free
- Information shown is complete, accurate, or current at any given moment
- Specific documents (e.g. PDFs) will always be available for download immediately
If you observe discrepancies between the Portal and the formal documents you have received, the formal documents prevail. Please contact Azerra to flag any inconsistencies.
07Service availability
Azerra aims to keep the Portal available during normal business hours but provides no warranty of uptime or continuous availability. Scheduled maintenance and emergency outages may occur without prior notice.
08Termination
Azerra may terminate or suspend your access to the Portal at any time, with or without notice, including but not limited to:
- Termination of the MSA between Azerra and your agency
- Violation of these Terms of Use
- Security or compliance concerns
- Operational changes to the Portal
Termination of your individual access does not affect your agency’s other authorised representatives.
09Limitation of liability
To the maximum extent permitted by applicable law, Azerra shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of, or inability to use, the Portal. Azerra’s total aggregate liability arising from these Terms shall not exceed the amounts paid by your agency to Azerra under the MSA in the twelve months preceding the relevant claim.
Nothing in this section limits liability that cannot be excluded under applicable law (such as liability for wilful misconduct or gross negligence).
10Changes to these terms
Azerra may update these Terms of Use from time to time. Material changes will be communicated to active agency users via email. Continued use of the Portal after such notice constitutes acceptance of the revised terms.
11Governing law
These Terms of Use are governed by the laws of Suriname. Any dispute arising from or related to these terms shall be subject to the exclusive jurisdiction of the competent courts in Paramaribo, Suriname, without prejudice to mandatory consumer protection rules in your jurisdiction.
